Introduction
These Terms of Service (these “Terms”) constitute a legally binding agreement between Power Electronics Intl., Inc. and its affiliates (“Power Electronics International, Inc,” “we,” “us,” or “our”) and you, governing your access to and use of:
- the PEI App mobile application for iOS and Android (application identifier
com.peinfo.peapp) (the “App”); and - the Power Electronics International, Inc website located at peinfo.com and its associated subdomains, account portals, and online services (collectively, the “Website”).
The App and the Website are referred to collectively as the “Services.” “You” or “User” means the individual accessing or using the Services and, where the User acts on behalf of a business entity, that entity, on whose behalf such individual represents and warrants they are authorized to act.
1. Acceptance of These Terms
PLEASE READ THESE TERMS CAREFULLY. By registering for, creating, or using a Website account or a mobile App account, and by accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not create an account and must not access or use the Services.
Your agreement to these Terms is a condition of your use of Website accounts and mobile App accounts. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.
2. Eligibility
The Services are intended solely for business customers of Power Electronics International, Inc and their authorized representatives, and for Power Electronics International, Inc personnel (“Representatives”) who administer customer accounts and support communications. You must be at least sixteen (16) years of age and capable of forming a binding contract to use the Services. The Services are not available to any User previously suspended or removed by Power Electronics International, Inc.
3. Accounts and Registration
3.1 Registration. To use certain features, you must register for an account and provide accurate, current, and complete information. Account registrations may be subject to review and approval by Power Electronics International, Inc before activation, and we may approve, decline, or revoke account access in our discretion.
3.2 Credentials and Security. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. The Services use two-factor authentication; you agree to keep your contact information current so that verification codes can be delivered. You must notify us promptly of any unauthorized use of your account or any other breach of security.
3.3 Accountability. You are responsible for ensuring that all individuals who access the Services through your account comply with these Terms. You may not share, transfer, or permit unauthorized use of your account.
4. License and Use of the Services
Subject to your continuous compliance with these Terms, Power Electronics International, Inc grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes in connection with your relationship with Power Electronics International, Inc. We reserve all rights not expressly granted herein.
5. Acceptable Use
You agree that you will not, and will not permit any third party to:
5.1 use the Services in violation of any applicable law, regulation, or third-party right;
5.2 access, tamper with, or use non-public areas of the Services, our systems, or the systems of our Service Providers, or attempt to probe, scan, or test the vulnerability of any system or breach any security or authentication measures;
5.3 upload or transmit any material that is unlawful, infringing, defamatory, harmful, or that contains malware or other harmful code;
5.4 interfere with or disrupt the integrity or performance of the Services, including by imposing an unreasonable or disproportionately large load on our infrastructure;
5.5 reverse engineer, decompile, or disassemble any portion of the Services, except to the extent such restriction is expressly prohibited by applicable law;
5.6 copy, modify, distribute, sell, lease, or create derivative works of any portion of the Services; or
5.7 use the Services to develop a competing product or service, or for any purpose other than as expressly permitted by these Terms.
6. User Content
6.1 Your Content. The Services allow you to submit information and materials, including site and project records, support messages, equipment records, photographs, files, and documents (“User Content”). As between you and Power Electronics International, Inc, you retain ownership of your User Content.
6.2 License to Us. You grant Power Electronics International, Inc a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your User Content solely as necessary to operate, provide, secure, and improve the Services and to provide support and service to you.
6.3 Your Responsibility. You represent and warrant that you have all rights necessary to submit your User Content and that your User Content does not violate these Terms or any applicable law or third-party right. You are solely responsible for your User Content and the consequences of submitting it.
7. Quotes, Orders, and Pricing
7.1 Quotes. Quotes generated or saved through the Services are provided for convenience and informational purposes, are non-binding, and are subject to change, correction, and availability until accepted by Power Electronics International, Inc in a definitive order.
7.2 Orders. Orders submitted through the Services constitute offers to purchase and are subject to acceptance by Power Electronics International, Inc. We may accept, decline, or cancel an order, in whole or in part, including in cases of pricing or product errors, suspected fraud, or unavailability.
7.3 Pricing. Pricing is determined through our business systems and may reflect customer-specific terms. Prices, fees, and availability are subject to change. Unless otherwise stated, prices exclude applicable taxes, duties, and shipping charges, which are your responsibility.
7.4 Governing Commercial Terms. All purchases are additionally subject to any applicable master agreement, quotation, invoice, or sales terms agreed between you and Power Electronics International, Inc. In the event of a conflict regarding a specific transaction, those commercial terms control with respect to that transaction.
8. Support and Communications
The Services enable support communications between you and Power Electronics International, Inc. We may send you transactional communications necessary to operate the Services, including verification codes and account notices, which you cannot opt out of while maintaining an active account. Where you have enabled push notifications, you may disable them at any time through your device or browser settings.
9. Third-Party Services
The Services integrate with or rely on third-party products and services. We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms and policies. Our integration with a third-party service does not constitute an endorsement of it.
10. Intellectual Property
The Services, including all software, text, graphics, logos, designs, and other content (excluding User Content), and all intellectual property rights therein, are owned by Power Electronics International, Inc or its licensors and are protected by applicable intellectual property laws. Except for the limited license expressly granted in these Terms, no right, title, or interest in or to the Services is transferred to you. “Power Electronics International, Inc,” associated logos, and product names are trademarks of Power Electronics International, Inc and may not be used without our prior written permission.
11. Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect information in connection with the Services. By using the Services, you consent to the data practices described in the Privacy Policy.
12. Suspension and Termination
12.1 By You. You may stop using the Services and request closure of your account at any time.
12.2 By Us. We may suspend or terminate your access to the Services, in whole or in part, at any time and with or without notice, including if we reasonably believe you have violated these Terms, if required by law, or to protect the Services, our customers, or others.
12.3 Effect of Termination. Upon termination, your right to access and use the Services ceases. Sections that by their nature should survive termination — including Sections 6.3, 7, 10, 13, 14, 15, and 17 — shall survive. Data retention following termination is governed by our Privacy Policy.
13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Power Electronics International, Inc DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA OR CONTENT WILL BE ACCURATE, COMPLETE, OR PRESERVED WITHOUT LOSS. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICES CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Power Electronics International, Inc OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF POWER ELECTRONICS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO Power Electronics International, Inc FOR THE APPLICABLE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Indemnification
You agree to indemnify, defend, and hold harmless Power Electronics International, Inc and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; © your violation of these Terms; or (d) your violation of any applicable law or third-party right.
16. Changes to the Services and to These Terms
16.1 Services. We may modify, suspend, or discontinue any part of the Services at any time, including features and functionality, with or without notice.
16.2 Terms. We may amend these Terms from time to time. We will revise the “Last Updated” date above and, where required by applicable law or where changes are material, provide additional notice. Your continued use of the Services, or your continued maintenance of a Website or App account, following the effective date of any revised Terms constitutes your acceptance of the revised Terms.
17. Miscellaneous
17.1 Entire Agreement. These Terms, together with the Privacy Policy and any commercial terms referenced in Section 7.4, constitute the entire agreement between you and Power Electronics International, Inc regarding the Services and supersede all prior or contemporaneous understandings on that subject.
17.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17.3 Waiver. No waiver of any provision of these Terms shall be effective unless in writing, and no failure to exercise any right shall constitute a waiver thereof.
17.4 Assignment. You may not assign or transfer these Terms without our prior written consent. Power Electronics International, Inc may assign these Terms without restriction.
17.5 Force Majeure. Power Electronics International, Inc shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.
17.6 Notices. We may provide notices to you via the Services or the contact information associated with your account.
